Buzzi SpA is an Italian construction materials manufacturing company, formerly Buzzi Unicem SpA. Since 2018, the company has operated in Brazil through the company Cimento Nacional, jointly owned with the Ricardo Brennand Group of Recife. The purchase of 50% took place in September 2018.
The original structure of Cimento Nacional consists of two modern and efficient cement plants, one located in the state of Paraíba (Pitimbu) and the other in Minas Gerais (Sete Lagoas). In April 2021, Cimento Nacional acquired three full-cycle cement plants and two grinding units from the CRH Group, strengthening its presence in the South East of the country.
This week, Buzzi SpA received notification of the exercise of the put option granted as part of the existing agreements to the Ricardo Brennand Group, on the 50% participation in NCPAR (formerly BCPAR). The outcome of this purchase will mean that Buzzi will acquire 100% control of NCPAR. NCPAR currently owns 5 fully integrated cement plants and 2 grinding centers, with a total production capacity of more than 7.2 million tons/year.
The price of the 50% purchase will be determined based on existing agreements. It is currently estimated that the total investment will be between 290 and 310 million euros, this value may vary depending on the Real exchange rate. Buzzi will finance this purchase with its existing liquidity. The execution of the sale agreement, after the exercise of the put option, is subject to the approval of the Brazilian antitrust authority (CADE). It is expected that the transfer of the stake will probably take place at the end of 2024.
